Nominating Committee

Bylaws Description of the Nominating Committees

Below are sections from the CLF Bylaws on the Nominating Committee.

Article IX       Officers and Committees of the Church and Their Duties

Section 1         As soon after the Annual Meeting of the Corporation as is practical, the Board of Directors shall elect a Chair and a Vice-Chair from among its members.  In the event that the Board elects Co-Chairs, the position of Vice-Chair shall not be filled.

Section 2         A Treasurer and a Clerk, which Clerk shall always be a resident of Massachusetts but need not be a member of the Board, shall be elected annually by members who are present at the Annual Meeting of the Corporation or who submit written ballots.  The Clerk and the Treasurer shall swear faithfully to fulfill the duties pertaining to their offices.

Section 3         A Nominating Committee composed of three members of the Corporation, at least one of whom shall be a member of the Board of Directors, shall be elected by members who are present at the Annual Meeting of the Corporation or who submit written ballots.  Nominating Committee Members shall serve for terms of three years, one member being elected at each Annual Meeting of the Corporation.  No member shall serve more than three consecutive years, but a member may be re-elected after the lapse of one year.

Section 4         Vacancies in elective and appointive offices which occur between Annual Meetings shall be filled by the Board of Directors or the Executive Committee.  Persons so appointed shall serve until the next Annual Meeting.

Section 5         The Chair shall preside at the meetings of the Board of Directors and the Executive Committee and shall perform such other duties as are assigned to this office from time to time by the Board of Directors or the Executive Committee.  In the absence of the Chair, the Vice-Chair shall perform these duties.

 

Article X         Nominations

Section 1         The Nominating Committee, with the advice of the membership under such procedures as the Board shall determine, shall nominate at least one candidate for each position to be filled at the Annual Meeting of the Corporation, at least sixty days prior to the Annual Meeting.

Section 2         The Nominating Committee shall receive additional nominations by petition of at least 25 members until 30 days prior to the Annual Meeting of the Corporation.

Section 3         Voting shall be by written ballot, except that if only one person has been validly nominated for each position to be filled the persons so nominated shall be declared elected and no ballots shall be required.

Section 4         Nominations shall be made only as provided in these bylaws and only persons so nominated may be elected.
